Payout Policy
This document describes how Nodalia handles fees, verification and payouts to hub owners who receive payments through nodalia.app. The policy applies to all hub owners and forms part of Nodalia's Terms of Use.
1. Purpose and scope
The purpose is to clarify Nodalia's fee model and the identity and bank verification requirements that follow from applicable payment services, AML and KYC rules.
2. Definitions
- Hub owner: legal entity operating a hub on nodalia.app.
- Gross sales: total amount paid by end customers, excluding VAT.
- Platform fee: Nodalia's 10% commission on gross sales.
- Transaction fee: 3.5% of gross sales covering payment processing.
- Net amount: gross sales minus fees, paid to the hub owner.
3. Fee structure
Nodalia applies a transparent fee model: 10% platform fee and 3.5% transaction fee. Together, 13.5% of gross sales is deducted automatically before payout.
Example on EUR 1,000 gross sales: 1,000.00 gross − 100.00 platform fee − 35.00 transaction fee = EUR 865.00 to the hub owner.
4. Verification (KYC and bank verification)
Nodalia processes payments via Stripe Connect. Verification under AMLD5/6 and PSD2 is mandatory and must be approved before any payout. It includes company registration number, ultimate beneficial owners (UBO ≥25%), signatories, a bank account in the hub owner's name, company address and VAT number (for EU).
If verification is incomplete, funds are held at the payment processor. No interest accrues.
5. Payout schedule
- Payouts run per calendar week, normally on Wednesdays.
- Clearing window up to seven (7) banking days.
- Minimum payout: EUR 50.
- Nodalia may defer an individual payout in case of suspected fraud or an ongoing dispute.
6. Handling of denial or inaction
Day 0: verification denied, hub owner notified. Day 1–30: remediation window. Day 30: first reminder. Day 90: second reminder and formal notice of the six-month rule. Day 180: Nodalia may permanently retain the held amount.
7. The six-month rule
If, after six months, the hub owner still does not meet the requirements, Nodalia may permanently retain the entire held amount. At least two (2) written reminders and a formal warning are sent first.
8. Refunds and chargebacks
Refunds and chargebacks after payout are deducted from the hub owner's next payout. If the balance is insufficient, Nodalia invoices the difference with 14-day payment terms.
9. VAT and invoicing
Fees are stated exclusive of VAT. For EU-based hub owners with a valid VAT number, reverse charge applies (article 196 of the VAT Directive). A monthly settlement invoice is issued.
10. Disputes and contact
Contact support@nodalia.app. Receipt is confirmed within two business days and a reasoned response is provided within fifteen business days. Disputes are settled at Stockholm District Court.
11. Amendments
Material amendments are communicated at least thirty (30) days before they take effect.
